These Terms and Conditions ('Terms') govern your access to and use of the Lumentra Labs website and the design services we provide. By visiting our website or engaging Lumentra Labs for any service, you agree to be bound by these Terms. Please read them carefully. If you do not agree with any part of these Terms, you should not use our website or engage our services.

1. About Lumentra Labs

Lumentra Labs is a design agency offering brand identity, UI/UX design, and visual identity services to clients globally. References to 'we', 'us', or 'our' in these Terms refer to Lumentra Labs. References to 'you' or 'the client' refer to any individual or business that engages our services or accesses our website.

2. Use of Our Website

2.1 Permitted Use

You may use our website for lawful purposes only. You agree not to use our website in any way that:

  • Violates any applicable local, national, or international law or regulation

  • Is fraudulent, harmful, threatening, abusive, or defamatory

  • Infringes upon the intellectual property rights of Lumentra Labs or any third party

  • Attempts to gain unauthorised access to any part of our website or its underlying systems

  • Distributes malware, viruses, or any other harmful code

2.2 Website Availability

We aim to keep our website available at all times, but we do not guarantee uninterrupted or error-free access. We reserve the right to suspend, withdraw, or restrict access to our website at any time without notice for operational or maintenance reasons.

2.3 Third-Party Links

Our website may contain links to third-party websites including our Behance, Dribbble, and LinkedIn profiles. These links are provided for your convenience. Lumentra Labs is not responsible for the content, privacy practices, or terms of any third-party sites. Visiting those sites is entirely at your own risk.

3. Our Services

3.1 Scope of Services

Lumentra Labs provides design services including but not limited to: brand identity design, UI/UX design, visual identity systems, logo design, typography, colour systems, and brand guidelines. The precise scope of work for each engagement is defined in a separate project proposal or contract agreed upon by both parties before work commences.


3.2 Project Proposals and Agreements

All project engagements begin with a written proposal or statement of work (SOW) outlining the deliverables, timeline, payment terms, and revision policy. These project-specific documents form part of your agreement with Lumentra Labs and take precedence over these general Terms where there is any conflict.


3.3 Revisions

Each project includes a defined number of revision rounds as stated in the project proposal. Revisions requested beyond the agreed scope will be treated as additional work and billed accordingly at our standard hourly or day rate, which will be communicated to you in advance.

3.4 Client Responsibilities

To ensure projects proceed smoothly and on schedule, you agree to:

  • Provide accurate, complete, and timely project briefs and feedback

  • Supply all required assets (logos, images, brand materials, copy) by agreed deadlines

  • Appoint a single point of contact authorised to give approvals on your behalf

  • Respond to queries and review requests within the timelines specified in your project agreement

3.5 Changes to Scope

Any changes to the agreed project scope, including additional features, deliverables, or significant direction changes, must be requested in writing. We will assess the impact on timeline and cost and issue a revised proposal or change order before proceeding. We are not obligated to accommodate scope changes without a written agreement.

4. Payment Terms

4.1 Fees and Invoicing

All fees are outlined in the project proposal. Unless otherwise agreed, our standard payment structure is as follows:

  • 50% deposit due before work commences

  • 50% final payment due upon project completion and before final files are delivered

For larger or longer-term projects, milestone-based payment schedules may be agreed separately.

4.2 Payment Methods

Accepted payment methods will be communicated at the time of invoicing. All payments must be made in the currency stated on the invoice.

4.3 Late Payment

Invoices are due within 14 days of the invoice date unless otherwise stated. Overdue payments may incur a late payment fee of 2% per month on the outstanding balance. We reserve the right to pause or suspend work on any project where payment is overdue.

4.4 Taxes

All fees are exclusive of any applicable taxes (including VAT or GST) unless explicitly stated. You are responsible for any taxes applicable in your jurisdiction. Where Lumentra Labs is required to charge tax, this will be itemised on the invoice.

4.5 Refunds

The deposit paid to commence a project is non-refundable once work has begun. If a project is cancelled by the client after work has commenced, payment will be due for all work completed up to the point of cancellation, calculated on a pro-rata basis. We will issue a final invoice for this amount within 7 days of the cancellation notice.

5. Intellectual Property

5.1 Ownership During the Project

All design concepts, drafts, and materials created during the project remain the intellectual property of Lumentra Labs until full payment has been received.

5.2 Transfer of Rights Upon Full Payment

Upon receipt of full payment, Lumentra Labs transfers to the client the agreed usage rights for the final approved deliverables. Unless otherwise stated in writing, this transfer covers the right to use the final designs commercially in perpetuity across all media.

5.3 What We Retain

Lumentra Labs retains the right to:

  • Display completed work in our portfolio, on our website, on Behance, Dribbble, LinkedIn, and other marketing channels

  • Use the project as a case study for promotional and educational purposes

  • Retain ownership of any rejected concepts, drafts, or unused design directions

If you require confidentiality over the work for a defined period, this must be agreed in writing before the project commences.

5.4 Third-Party Assets

Where third-party assets are incorporated into designs (such as stock imagery, licensed fonts, or icon libraries), the client is responsible for ensuring they hold appropriate licences for their intended use. Lumentra Labs will advise on any licence requirements but is not liable for unlicensed use by the client.

5.5 Our Website and Brand

All content on the Lumentra Labs website — including text, graphics, logos, case studies, and design work — is protected by copyright and owned by Lumentra Labs. You may not reproduce, copy, distribute, or exploit any part of our website content without prior written permission.

6. Confidentiality

Both parties agree to keep confidential any proprietary information, business data, or materials shared during the course of a project. This obligation continues after the project concludes. Neither party will disclose the other's confidential information to third parties without prior written consent, except where required by law.

If you require a formal Non-Disclosure Agreement (NDA) before sharing sensitive information, please request this before any project briefing takes place.

7. Warranties and Limitation of Liability

7.1 Our Commitment

Lumentra Labs commits to delivering work that meets the agreed brief to a professional standard. We will act with reasonable care and skill in all our work.

7.2 No Guarantee of Outcomes

While we strive to produce design work that achieves your business goals, we cannot guarantee specific commercial results, outcomes, or performance metrics (such as increased sales, user engagement, or brand recognition). Design is one factor among many that influences business success.

7.3 Limitation of Liability

To the fullest extent permitted by applicable law, Lumentra Labs shall not be liable for:

  • Any indirect, incidental, special, or consequential losses or damages

  • Loss of profit, revenue, business, data, or goodwill

  • Losses arising from your failure to meet your responsibilities as a client

  • Losses resulting from third-party services or tools used in the delivery of work

Our total liability to you in connection with any project shall not exceed the total fees paid by you for that specific project.

7.4 Indemnity

You agree to indemnify and hold Lumentra Labs harmless from any claims, damages, or expenses (including legal fees) arising from your use of our deliverables, your breach of these Terms, or your infringement of any third-party rights.

8. Termination

8.1 Termination by the Client

You may terminate a project at any time by providing written notice. In this case, you remain liable for all work completed up to the date of termination. A final invoice will be issued accordingly, and any deposit already paid is non-refundable.

8.2 Termination by Lumentra Labs

We reserve the right to terminate a project or our relationship with a client if:

  • Payment obligations are not met within the agreed timeframe

  • The client engages in conduct that is abusive, discriminatory, or unethical

  • The project brief requires us to produce work that violates laws, third-party rights, or our own ethical standards

In such cases, payment is due for all work completed to date.

8.3 Effect of Termination

Upon termination, all outstanding invoices become immediately payable. Any rights to final design files are conditional on full payment being received.

9. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable laws. As a globally operating agency, we aim to resolve any disputes fairly and professionally.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of the dispute being raised in writing. If a resolution cannot be reached, the matter may be referred to mediation or, if necessary, the courts of the jurisdiction in which Lumentra Labs is legally registered.

Nothing in these Terms limits your statutory rights as a consumer where applicable under local law.

10. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business practices, services, or legal requirements. The 'Last Updated' date at the top of this document will always reflect the most recent version. We encourage you to review these Terms periodically.

Continued use of our website or services after any changes constitutes your acceptance of the updated Terms.

11. Entire Agreement

These Terms, together with any project-specific proposal, statement of work, or contract agreed between you and Lumentra Labs, constitute the entire agreement between the parties. They supersede all prior discussions, representations, or agreements relating to the subject matter herein.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
